The Woodlands Township Board Meeting Agenda Items for August 27

THE WOODLANDS, Texas (August 27, 2008) – The Woodlands Township Board of Directors met today and approved several items in its regular scheduled meeting.

Items included:
• The Township Board of Directors approved proposed dates for budget meetings in connection with development of the 2009 Operating Budget of The Woodlands Township. All meetings will begin at 9 a.m. on the following dates and will be held at The Woodlands Township offices, 10001 Woodloch Forest Drive, Suite 600, The Woodlands, Texas 77380.
- Friday, October 17, 2008 – 1st Board budget workshop
- Friday, October 24, 2008 – 2nd Board budget workshop
- Friday, November 7, 2008 – 3rd Board budget workshop
- Friday, November 14, 2008 – 4th Board budget workshop
• The Township Board of Directors approved the following items from the Committee on Governance and Nominations:
A. Election and Terms of Board Officers
- As long as the Board is comprised of eleven (11) directors, the officers on the Board of Directors for The Woodlands Township will include a Chairman, a Vice Chairman, a Second Vice Chairman, a Secretary and a Treasurer, as permitted by the Township’s enabling legislation.


B. Review of Board Officers and Role of Executive Committee
- Continue the need for five (5) officer positions and for continuation of the Executive Committee.

C. Meeting Time and Place
- Maintain the current daytime meeting schedule for regular meetings to accommodate the greatest number of interested persons, minimize the cost of and the burden on staff, emulate the practices of the overwhelming majority of local governments in Texas of comparable size and facilitate the orderly conduct of the expanded level of public business of the Township.
- Change the current regular board meeting time from 7:30 a.m. to 9:00 a.m. to accommodate more citizens, staff and other attendees and presenters.
- Continue the past practice of conducting public hearings and forums at different times and locations, as dictated by the circumstances.
- Participate in quarterly, town-hall style meetings in a larger venue that is open to the public in conjunction with the leadership meetings of the Village Associations.
- Implement video and audio recording of meetings that will be uploaded to the Township website within 24 hours for viewing or listening by interested persons.
D. Nomination
- Repealed the one-year service eligibility requirement for Board officers and elect a Second Vice Chairman of the Board
• The Township Board of Directors elected an additional officer for the Board of Directors of The Woodlands Township, which was Bruce Tough as Second Vice Chairman of the Board.


• The Township Board of Directors repealed the resolution granting The Woodlands Township Co-Managers the authority to exercise contractual, banking and purchasing powers held by the previous President for The Woodlands Township.
• The Township Board of Directors approved investment training for The Woodlands Township’s interim President in accordance with the Investment Policy of The Woodlands Township.
• The Township Board of Directors adopted a proposed change to The Township employee handbook under Educational Assistance Program.
• The Township Board of Directors approved the amendment to the existing Waterway Square Park and Fountain Maintenance Agreement between The Woodlands Township and The Woodlands Community Service Corporation Parks Department.
• The Township Board of Directors extended the services of Right Management through December 31, 2008 and approved the Chairman and/or President of The Woodlands Township to be designated as the appropriate persons to initiate any future work deemed necessary.

The next meeting for The Woodlands Township Board of Directors will be held at 9:00 a.m. Wednesday, September 24, 2008 at The Woodlands Township, 10001 Woodloch Forest Drive, Suite 600, The Woodlands, Texas 77380.

Kinnear named Interim President for The Woodlands Township

THE WOODLANDS, Texas (August 22, 2008)Robert C. (Bob) Kinnear was recently named Interim President for The Woodlands Township.

Kinnear has been a resident of The Woodlands since 1992. He has served as an elected official on The Woodlands Township Board of Directors from April 1996 to May 2008. He served as Chairman of the Board of Town Center Improvement District, now known as The Woodlands Township, in 2003 and 2004. While serving on the Township Board of Directors, Kinnear served as Chairman of the Special Projects Committee and Chairman of the Convention Center Task Force, which worked to fund the $52 million Convention Center on The Woodlands Waterway. Additionally, Kinnear has served on the Board of Directors for the Center for Performing Arts in The Woodlands, otherwise known as The Cynthia Woods Mitchell Pavilion.

ULI Holds First Suburban Marketplace Conference in The Woodlands

THE WOODLANDS, Texas (August 21, 2008) -- The Houston District Council of the Urban Land Institute (ULI) held its first-ever Suburban Marketplace conference at The Woodlands Waterway Marriott Hotel & Convention Center and the participants witnessed The Woodlands development first hand.

“We were excited The Woodlands was chosen for this conference,” said Nelda Luce Blair, Chairman of The Woodlands Township Board of Directors. “Clearly, The Woodlands is a world-class Township admired by people from all over the country and the world. We truly have a special place for our citizens, both residents and businesses.”

“We were happy to host and participate in this first-time event for ULI and The Woodlands,” said Alex Sutton, Co-President of The Woodlands Development Company. “We enjoyed showing ULI members our Town Center developments including The Woodlands Waterway, Waterway Square, Market Street, The Cynthia Woods Mitchell Pavilion and Town Green Park.”

The half-day conference was modeled on the highly successful ULI Houston Urban Marketplace Conference, which has, for each of the past three years in which it has been held, attracted over 600 attendees and almost 60 exhibitors from the for-profit, not-for-profit, and public sectors, bringing members of the development and land use community together to meet, share experiences and best practices, and lay the foundation for future collaborative efforts.

The conference featured a luncheon with a keynote speaker, discussion panels, roundtable discussion groups, a marketplace with exhibitors, and a cocktail reception—all with a focus on promoting best practices in suburban development. This year’s keynote speaker was Mr. Gadi Kaufmann, Managing Director and Chief Executive Officer of RCLCO (Robert Charles Lesser & Co.), the largest independent real estate advisory firm in the nation. Mr. Kaufmann led a discussion of the latest trends in suburban development.

Also featured in the conference were tours of The Woodlands Town Center conducted by The Woodlands Development Company, The Woodlands Township and The Woodlands Convention & Visitors Bureau.

“The Woodlands is one of our region's true gems,” said Jason Stuart, Executive Director of ULI Houston. “It served as the perfect setting for our inaugural Suburban Marketplace Conference, as it embodies thoughtful planning and development and the creation of a sense of place, which in turn produces lasting value for the residents themselves and, for that matter, all of us who live in the Houston region.”

Township Executive Committee Considers Waterway Square Maintenance and Consultant Services Extension

THE WOODLANDS, Texas (August 20, 2008) –The Woodlands Township Executive Committee met today, and moved forward on several items of interest.

As part of an ongoing effort to coordinate the transition of the community associations and the Township, a recommendation was made to the Board of Directors to amend an existing Park and Fountain Maintenance Agreement between The Woodlands Township and The Woodlands Community Service Corporation (WCSC) Parks Department, with regard to oversight of The Fountains at Waterway Square in the Town Center. Extended maintenance and security responsibilities were assigned to the WCSC by expanding an existing contract governing the sophisticated water feature. In a cooperative effort, the Township will pay an additional $87,761 annually to the WCSC for more extensive and detailed attention to ensure the proper and safe operation of Waterway Square.

The Executive Committee also voted unanimously to send a recommendation to the Township Board of Directors for a modification of its contract with Right Management. The Township retained the consulting firm in June to study and make recommendations regarding the future management structure of the Township relative to the Transition Agreement with the community associations. The contract amendment addressed work done by Right Management outside the time frame of, and in addition to, the original contract. While Phase 1 of the original contract, through July 16, carried a fee of $48,500, the additional work done on an hourly basis amounted to $16,950.

The Executive Committee also agreed to recommend that the Board of Directors authorize Chairman Nelda Blair to contract with Right Management on an as-needed basis at the hourly rate, through December 31, 2008. The contract extension will come before the full Board on August 27, 2008 at 7:30 a.m. at The Woodlands Township offices.

Chairman Blair called the work done by Right Management “crucial to the immediate needs of the Township, and beneficial to both the Township and the community associations.” She stated that “much of the additional work done involved meetings with leaders of all the stakeholders in this transition, including the presidents of the community associations and Township directors. Great value was received from Right Management’s results and advice, and we will recommend that the full Board continue to consult with them at least through the end of the year.” Under Township rules, the Executive Committee’s duties include the responsibility to act on budgeted issues up to $100,000, which included the Right Management contract, explained Blair.

In related matters, the Executive Committee reported that the status of its internal candidate for a new Township President search was continuing. The Township Board has assigned Chairman Blair and Vice Chairman Lloyd Matthews to the task of conducting that initial search.

The Woodlands Township Special Board of Directors Meeting Wednesday, August 6, 2008
THE WOODLANDS, Texas (August 6, 2008) – With nine “for”, one “against” and one abstaining, The Woodlands Township Board of Directors today agreed to hire Director Robert Kinnear as Interim President for the Township, in a special public meeting.

Terms of the month-to-month employment will be reduced to writing, and will include a condition that Kinnear, who was recently appointed to fill a vacancy on the Board, not participate as a Board member during his term as Interim President.

“Bob Kinnear has not only the career experience and the background to lead the Township at this important time, but his knowledge and understanding of this entity is unmatched. I am extremely confident in his ability to keep the Township going and growing during this transition period.

As we look for a permanent President, Bob will also serve as the perfect liaison for the right candidate to take over the job for the future,” said Township Chairman Nelda Luce Blair. Blair also said that Kinnear’s career experience as a manager and with large-level mergers, as well as his past service as Chairman of the Board for the former Town Center Improvement District, are invaluable to the Township. While Kinnear abstained from the vote, Director Peggy Hausman cast the lone vote against the interim employment arrangement.

Kinnear will take the lead immediately, relieving the three-way interim president situation which had Vice President of Operations and Public Safety Steve Sumner, Vice President of Marketing and Public Affairs Nick Wolda, and financial consultant Brian Pate in charge of the Township for the past 60 days. Sumner and Wolda will continue with their vice presidential duties, and Pate remains under contract to the Township.

The Board also directed its Executive Committee to explore an internal candidate to permanently serve as President of the Township, as recommended by consultant Right Management in its report recently presented to the Township, and to negotiate terms of employment to be presented to the Board.

Under other agenda items, the Board approved the confirmation of First Southwest Company to serve as financial advisors in connection with the issuance, sale, and delivery of bonds to be sold by The Woodlands Township to fund the Regional Participation Fund with the City of Houston and perhaps also the Regional Participation Fund with the City of Conroe. The payments, which fund regional projects, are due on or before November 16, 2008. The deposit for the Fund established with the City of Houston is $16 million and the Fund with the City of Conroe is $320,000. Additionally, the Board confirmed the engagement of Schwartz, Page & Harding, L.L.P. to serve as bond counsel and project counsel in connection with the issuance, sale, and delivery of those bonds. “This bond issue is imperative to fund our obligations under the Regional Participation Agreements,” said Township Chairman Nelda Luce Blair. “This is part of the process of working in collaboration with the cities of Houston and Conroe to achieve funding for regional projects of benefit to all”.

In October 2007, The Woodlands Township Board of Directors unanimously approved separate Regional Participation Agreements with the cities of Houston and Conroe to prevent annexation of The Woodlands and allow the residents of The Woodlands to determine its future governance. In return, The Woodlands Township is required to contribute a portion of the sales and use tax (a sixteenth of one percent) to regional participation funds for mutually beneficial regional projects.

THE WOODLANDS, Texas (August 1, 2008) – The Executive Committee of The Woodlands Township met today in a public meeting and made two recommendations of items to be sent to the Board of Directors on Wednesday, August 6, 2008.

The Executive Committee has recommended to the Board of Directors for confirmation of First Southwest Company to serve as financial advisors in connection with the issuance, sale, and delivery of bonds to be sold by The Woodlands Township to fund the Regional Participation Fund with the City of Houston and the Regional Participation Fund with the City of Conroe. The payments, which fund regional projects, are due on or before November 16, 2008. The Woodlands Township Makes First Payment to Fire Department
The Woodlands Township Makes First Payment to Fire Department
THE WOODLANDS, TX(July 23, 2008) – The Woodlands Township made the first of several scheduled payments to The Woodlands Fire Department (WFD) as part of the Transition Agreement among The Woodlands Township and various entities in the Community Associations of The Woodlands.

The first check of $1,016,666.67, which is for June’s installment, will provide funding for fire and emergency services provided by The Woodlands Fire Department for the residents and businesses throughout the entire area of The Woodlands. The check represents the first installment of the $6.1 million that will be paid from The Woodlands Township to The Woodlands Fire Department in 2008.

Funding comes as a result of an extra cent sales tax collected in the Town Center area and The Woodlands as a whole.

The Transition Agreement ultimately provides a seamless consolidation of the governmental services and functions provided to taxpayers into a single, community-wide, governmental organization. The Transition Agreement exists among the following entities: The Woodlands Township, The Woodlands Community Association, The Woodlands Association, The Woodlands Commercial Owners Association, The Woodlands Community Service Corporation, The Woodlands Recreation Centers, and The Woodlands Fire Department. The Woodlands Township Board Meeting Agenda Items for July 23
THE WOODLANDS, Texas (July 23, 2008) – The Woodlands Township Board of Directors met today and approved several items in its regularly scheduled meeting.
Items included:
  • The Township Board of Directors approved funding for an Express Transportation Service involving The Woodlands Township and Sam Houston State University, as well as a budget amendment of $33,000, which will support first year operations beginning in August, 2008.
  • The Township Board of Directors received and considered a report from Right Management concerning management positions for The Woodlands Township.
  • The Township Board of Directors determined that a decision regarding time and location of future meetings would be deferred to the Governance and Nominations Committee for further review.
  • The Township Board of Directors approved a recommendation from the Project Planning and Development Committee to contract with the Goodman Corporation for transportation consulting services and a budget amendment.
  • The Township Board of Directors received and considered a quarterly update from The Woodlands Convention and Visitors Bureau.
  • The Township Board of Directors approved the appointment of Sheron Jones, Director of Sales & Marketing for The Woodlands Waterway Marriott Hotel & Convention Center, to fill the unexpired term of Sandy Schoenbeck on the Booking and Blocking Committee of the Convention and Visitors Bureau.
  • The Board of Directors administered the Oaths of Office to newly appointed Director, Robert Kinnear and approved the minutes of the June meeting, the June Financial Report and a report from the Community Associations of The Woodlands.

    The next meeting for The Woodlands Township Board of Directors will be held at 7:30 a.m. on Wednesday, August 27, 2008 at The Woodlands Township, 10001 Woodloch Forest Drive, Suite 600, The Woodlands, Texas 77380.

  • Executive Committee Approves Express Shuttle Program
    THE WOODLANDS, TX (July 16, 2008) – The Executive Committee of The Woodlands Township approved today sending an Express Shuttle proposal to The Woodlands Township Board of Directors.

    The Express Shuttle plan calls for funding of an Express Transportation Service involving The Woodlands Township and Sam Houston State University, as well as a budget amendment of $33,000, which will support first year operations beginning in August, 2008.

    Approval of both measures will be required from the full Board of Directors during its July 23 meeting before implementation can begin.

    If approved, the shuttle, which will be managed by Brazos Transit District, will make stops at Lone Star College-Montgomery, the City of Shenandoah and the City of Conroe.
    Riders who utilize the system will pay $4 per one way trip to help defray costs, which will be shared by the participating entities.

    “The Brazos Transit District will only invoice The Township if the system is used,” said Steve Sumner, Vice President of Operations and Public Safety for The Woodlands Township. Utilization will be monitored over the next few months and an update will be presented to the board by year’s end.

    The item will be considered by The Woodlands Township’s Board of Directors on Wednesday, July 23, 2008 in its regular scheduled meeting. The meeting is scheduled for 7:30 a.m. at The Woodlands Township, 10001 Woodloch Forest Drive, Suite 600, The Woodlands, Texas 77380.

    The Committee also unanimously approved the minutes of the June meeting and the June 30 Financial Report.

    The Woodlands Celebrates Grand Opening of Fire Station 6
    Fire Station No. 6
    Firefighters and community leaders gathered on Monday, June 30, for a ribbon cutting ceremony to mark the official grand opening of The Woodlands Fire Department’s Station No. 6. Personnel assigned to this station provide fire, rescue and paramedic-level EMS service while maintaining the established five-minute response criteria in the College Park area. The 12,760-square-foot facility is located at 1100 Windsor Lakes Blvd.

    Speakers for the event included Fire Chief Alan B. Benson, The Woodlands Fire Department President Bruce Tough, The Woodlands Association Director Ted Stanley, The Woodlands Township Chairman Nelda Blair, and past Township Chairman Dr. Ed Robb, who gave a blessing for the firefighters and fire station just prior to the ribbon cutting.

    Chief Benson and President Tough recognized The Woodlands Fire Department Board of Directors, The Woodlands Township and Lowe's for their generous partnership and community service. In addition, representatives from Congressman Kevin Brady’s office presented an American flag to Chief Benson.

    The new fire station includes three apparatus bays, living quarters, eight dorm rooms, a kitchen, an administrative office, a conference/study room, a work room, a decontamination room and a physical wellness area. It is equipped with a 100-foot aerial ladder truck and a fire engine.

    Funding for the facility is provided through a partnership among The Woodlands Township, The Woodlands Fire Department and the Community Associations of The Woodlands, forming Economic Development Project No. 4 to construct and equip a fire station and emergency training center.

    Marina Valenzuela and Dawn Blake Receive CPS Certifications and Promotions
    The Woodlands, TX (July 8, 2008) - Marina Valenzuela and Dawn Blake recently earned their certifications as Certified Professional Secretaries (CPS) from the International Association of Administrative Professionals. In order to receive certification, one must pass a three part exam.

    Marina Valenzuela began working with The Woodlands Township over four years ago as one of the original six ambassadors. Shortly following, she was promoted to Receptionist/Administrative Assistant. During this time, she began working towards her CPS certification, and upon certification, Ms. Valenzuela was recently promoted to Finance and Administrative Assistant.

    Ms. Blake has been with The Woodlands Township since 2005 when she started as a Sam Houston State University intern with the Masters of Public Administration Program. The following year, she began full-time as the Accounting Assistant, and she has recently been promoted to Accountant.

    The Woodlands Township Board Meeting Agenda Items from June 25
    THE WOODLANDS, TX (June 25, 2008) – The Woodlands Township Board of Directors met today and approved several items in its regular scheduled meeting.

    Items included:
  • The Township Board of Directors approved the Chairman to execute a Waterway Maintenance Agreement between The Woodlands Township and The Woodlands Operating Company.
  • The Township Board of Directors approved an extension of the current banking services contract with Woodforest National Bank through July 2009.
  • The Township Board of Directors appointed Robert Kinnear to fill the vacated position on the Board of Directors of The Woodlands Township.
  • The Township Board of Directors approved the investment training for The Woodlands Township’s Investment Officers in accordance with the Investment Policy of The Woodlands Township.
  • The Township Board of Directors acted upon committee changes and appointments for The Woodlands Township. They are as follows:

    A. The Woodlands Audit Committee members are:

  • Vicki Richmond, Chairman
  • Kemba DeGroot
  • Tom Campbell

    B. The Cultural Arts Task Force Committee was renamed to the Museum Ad Hoc Committee. Members are:

  • Vicki Richmond, Chairman
  • Ed Robb
  • Alex Sutton (or designee)
  • Bruce Tough
  • David Gottlieb & Michael Richmond: members from the community

    C. The Special Projects Committee was renamed to the Project Planning & Development Committee. Members are:

    D. The Waterway Committee was renamed to the Public Facilities Administration Committee. Members are:

    E. The Transition Team was discontinued, and duties were transferred over to The Woodlands Township Executive Committee.

  • The Township Board of Directors elected Alex Sutton and Bruce Tough to The Woodlands Township’s Committee on Governance and Nominations.
  • The Township Board of Directors appointed Nelda Blair, Peggy Hausman, Claude Hunter, and Lloyd Matthews to The Woodlands Convention & Visitors Bureau Board of Directors.
  • The Township Board of Directors elected Tom Campbell, Claude Hunter, Lloyd Matthews, and Bruce Tough to The Woodlands Fire Department Board of Directors in accordance with the Transition Agreement.
  • The Township Board of Directors adopted a resolution to grant The Woodlands Township Co-Managers the authority to exercise contractual, banking and purchasing powers as presently held by The Woodlands Township President.
  • The Township Board of Directors adopted a TexPool resolution amending the list of authorized representatives for The Woodlands Township authorized to engage in transactions with TexPool.
  • The Township Board of Directors approved additional expenses related to Town Green Park and added these expenses to the outstanding balance of the Town Green Park reimbursement agreement between The Woodlands Township and The Woodlands Township Economic Development Zone.
  • The Township Board of Directors approved The Woodlands Township Logo Standards and Guidelines for correct use of the official logo.

    New Sales Tax Rate Takes Effect April 1, 2008
    Effective April 1, 2008, businesses within The Woodlands Township’s expanded boundaries in Harris and Montgomery counties will charge a one percent local sales and use tax in addition to the 6.25 percent sales tax assessed by the State of Texas.
